Wholesale Program Terms and Conditions

NN and Client will be referred to as the “Party” or collectively the “Parties”. The “Client” shall include any partners, affiliates, subsidiaries, and third-party beneficiaries to the terms of this Agreement. The term “Product(s)” shall include all products manufactured and/or distributed by Nascent Naturals.
The following is mutually acknowledged by The Parties:
1. NN is in the business of:
Manufacturing and selling natural body products, packaging, raw materials, other ingredients, and aromatherapy supplies for wholesale customers (the “Product and Services”)
For the Client wishing to:
a. Resell these products
b. Use these products for their business.

2. The Client:
a. Wishes to purchase and sell products provided by NN either with or without the outer packaging labels provided and approved by NN.
b. Wishes to purchase product making ingredients, aromatherapy supplies and/or packaging from NN for the purpose of making their own products or for other purposes related to their business.
In consideration of the mutual conditions and promises hereinafter contained, it is agreed between the Parties as follows:

Products and Services

Pursuant to the terms of the Agreement, the Client herby agrees to purchase readily available stock of the Products and Services of NN.

1. iThe Client acknowledges that NN will provide their formulated products based upon the proprietary formulas that are owned and controlled by NN.
2. The Client intends:
   a. To purchase, distribute and sell the Product(s), either with NN’s labelling or without in a private label format.
   b. Or to use the Products for their business.
3. NN does not represent that it will continue to manufacture any particular Product/ model or size of Product indefinitely for any specific period of time. NN reserves the right to modify any specifications/characteristics of its products, to remove them from the market and/or to cease manufacturing it. iv. NN reserves the right to refuse to provide wholesale purchasing for certain products due to margins, product availability, seasonality, etc.
4. Wholesale Products are final sale and cannot be returned to the Manufacturer. It is the Client’s responsibility to store and display Products in a temperature controlled, cool and dry environment for the longevity and health of the Products.
5. NN is not responsible for product compatibility and assumes no liability once products have been altered in any way, including but not limited to, with added ingredients, by refilling or changing the product’s container.
6. If the Client is intending to purchase Products unlabeled for private label purposes:
   a. The Client intends to design, supply, store and apply all product labels in their own facility.
   b. The Manufacturer will provide in writing the ingredient information for each product, necessary for the sale and distribution in Canada. It is the responsibility of the Client to use it on their label design in compliance with Health Canada regulations. The Manufacturer will not be held liable for the mislabeling of a Product.
   c. For unlabeled products being distributed by the Client under private label, The Client does not hold territory in the sale of NN’s products, as they are private labeled. NN reserves the right to secure a future wholesale account and/or location in the Client’s area with the Products sold under the Manufacture’s labeling and brand.

Terms and Conditions

a. Full payment for the invoice is due when the purchase order is placed.

b. All purchase orders must be placed online at www.nascentnaturals.com. If paying by e-transfer, The Client’s order will be processed, and an adjusted invoice will be emailed to the Client and the payment will be due. If you do not receive an invoice within 48 hours, please contact us to confirm your order was received

c. All orders must have a wholesale subtotal of $200 (subtotal with the wholesale pricing before taxes, shipping/handling, and bank surcharge fees) to qualify for wholesale pricing. An additional 3% discount will be given for orders over $500 wholesale subtotal, and a 10% additional discount will be given for orders over $1000 wholesale subtotal.

d. Wholesale customers will receive points for purchases they make through the NN Wholesale program and the NN affiliate program. These points can be used for further discounts on wholesale orders.

e. Wholesale pricing is according to the pricing listed on the website, which can and will be updated.

f. We accept Visa, Mastercard, or E-Transfer.

g. Orders paid for by credit card will include a 3% surcharge due to credit card fees.

h. The Client will give the manufacturer a minimum of 3 business days to fill a Purchase Order.
